Agreement Overview

Welcome to Lasso Air, the premier marketplace for luxury aircraft. These Terms of Service ("Terms") govern your access to and use of our platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional policies incorporated herein by reference. If you disagree with any part of these terms, you may not access or use our Services.

Eligibility and Account Registration

2.1. Eligibility

By using the Services, you represent and warrant that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2.2. Account Registration

  • You must provide accurate, complete, and current information during registration and keep your account information updated.
  • You are solely responsible for maintaining the confidentiality of your account credentials (username and password).
  • You must notify us immediately of any unauthorized access to or use of your account. Lasso Air is not liable for any loss or damage arising from your failure to protect your credentials.

User Responsibilities and Listing Requirements

3.1. General Responsibilities

You are solely responsible for all activity that occurs under your account. You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws, rules, and regulations.

3.2. Listing Requirements

  • All aircraft listings must be accurate, truthful, current, and complete.
  • You must have legal authority to sell or represent the listed aircraft.
  • Photos, videos, and descriptions must accurately represent the aircraft's current condition and specifications.
  • You must disclose all material information, including any known defects, accident history, lien status, and regulatory compliance issues.

3.3. Indemnification for Listings

You agree to indemnify and hold harmless Lasso Air from any and all claims, liabilities, costs, and damages arising from or related to any false, misleading, or fraudulent information contained within your listings.

Platform Usage Guidelines

Permitted Uses

Our platform is designed exclusively for legitimate aircraft buying, selling, and related professional activities. Users may browse listings, contact sellers, create listings for aircraft they are authorized to sell, and engage in good-faith negotiations.

4.2. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Posting false, misleading, or fraudulent aircraft listings or content.
  • Attempting to circumvent our platform fees or policies for direct, off-platform transactions.
  • Using automated systems, including robots, spiders, scrapers, or other data mining tools, to access, scrape, or collect data from our Services without our express written permission.
  • Interfering with or disrupting the integrity or performance of the Services or the data contained therein (e.g., posting viruses, malware, or other malicious code).
  • Harassing, threatening, abusing, or defaming other users, our staff, or third parties.
  • Impersonating any person or entity.
  • Using the Services to transmit spam, junk mail, or any unsolicited mass communication.

Intellectual Property Rights

5.1. Lasso Air Content

All content, features, and functionality on the Services (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Lasso Air, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2. User-Generated Content (UGC) License Grant

By creating, uploading, posting, or otherwise providing content to the Services (including listing descriptions, photos, and comments) ("User Content"), you grant Lasso Air a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of your User Content in connection with the operation and promotion of the Services, in any media formats and through any media channels.

5.3. Responsibility for User Content

You acknowledge and agree that you are solely responsible for your User Content. Lasso Air does not endorse and has no control over User Content. We are not liable for any User Content, including its accuracy, legality, or any infringement of third-party rights caused by it.

Transactions, Liability, and Disclaimers

6.1. Marketplace Role

Lasso Air serves as a neutral online marketplace to connect prospective buyers and sellers. We are not a party to any transaction between users. We do not own, inspect, or have possession of any aircraft listed on our platform. We do not act as an agent, broker, or facilitator for any sale or purchase.

6.2. Due Diligence and Transaction Risk

  • Buyers are solely responsible for conducting their own due diligence, including, without limitation, pre-purchase inspections, title searches, verification of maintenance records, and verification of all aircraft documentation and compliance.
  • Sellers are solely responsible for accurately representing their aircraft, having clear title, and fulfilling all terms of sale, including compliance with all export/import regulations, taxes, and transfer documentation.
  • Lasso Air expressly disclaims any and all liability related to aircraft transactions, negotiations, financing, title transfer, or the physical condition of any aircraft.

6.3. Content Liability Disclaimer

Lasso Air is a distributor (not a publisher) of content supplied by users and third parties. Accordingly, we have no more editorial control over this content than a public library, bookstore, or newsstand. Lasso Air expressly disclaims any and all liability for the accuracy, completeness, or usefulness of any content, information, or materials displayed on the Services, including but not limited to aircraft listings, photos, and user comments.

Fees, Payments, and Billing

7.1. Fees

Access to certain features of the Services may require you to pay fees. You agree to pay all applicable fees associated with your use of the Services, including any listing fees, subscription fees, and success fees as set forth in the separate Fee Schedule and Billing Policy available on our website.

7.2. Payment Terms

All payments are subject to the terms and conditions of our third-party payment processors. You are responsible for providing valid payment information and authorizing Lasso Air to charge your payment method for all incurred fees. All fees are non-refundable unless otherwise expressly stated in our policies.

Termination and Suspension

Lasso Air reserves the right, in its sole discretion, to suspend or terminate your account and access to all or part of the Services, with or without notice, for any reason, including but not limited to:

  • Breach of these Terms
  • Requests by law enforcement or other government agencies
  • Discontinuance or material modification to the Services
  • Unexpected technical issues or problems
  • Engagement by you in fraudulent or illegal activities

9. DISCLAIMERS OF WARRANTIES

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, LASSO AIR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LASSO AIR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LASSO AIR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND REGARDLESS OF WHETHER LASSO AIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL LASSO AIR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE LESSER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO LASSO AIR FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Lasso Air, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, your listings, any transaction you engage in through the Services, and any use of the Services' content, services, and products other than as expressly authorized in these Terms.

12. Governing Law and Dispute Resolution

12.1. Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of [Insert State, e.g., Delaware], without giving effect to any choice or conflict of law provision or rule.

12.2. Binding Arbitration

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in binding arbitration in [Insert City, State, e.g., Wilmington, Delaware] in accordance with the rules of the American Arbitration Association (AAA). The decision of the arbitrator shall be final and binding. You and Lasso Air agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
